VEXA AI is an educational and informational tool designed to help traders understand their trading psychology and behavior. VEXA AI does not provide financial advice, investment recommendations, or trading signals.

1. Acceptance of Terms

By accessing or using the VEXA AI platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). This agreement is between you and VEXA Artificial Intelligence Development FZ-LLC, a company registered in Ras Al Khaimah, United Arab Emirates, operating as "VEXA AI" ("VEXA," "we," "us") at vexatrade.ai. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms.

2. Service Description

VEXA AI provides a trading psychology coaching platform that includes the following features:

  • CDI Scoring System™ (Confidence, Discipline, Intuition — Patent Pending) — personalized AI-calculated psychology scores.
  • AI Trading Psychology Coaching — personalized insights based on your trading behavior and biometric data.
  • Voice AI Coaching — real-time conversational AI coaching via a streaming voice AI service.
  • VEXA Sentinel — real-time trading psychology monitor combining biometric data with trading activity, delivering interventions when potentially harmful patterns are detected (availability may vary; some Sentinel features may be released in stages).
  • Biometric and Health Data Integration — heart rate, stress levels, sleep data from wearable devices.
  • Trading Activity Tracking — journal entries, trade logging, and performance metrics.
  • Pattern Recognition — AI-detected behavioral patterns and blind spots (Pro plan).
  • Community and Leaderboard Features — shared performance metrics and community interactions.
  • Performance Analytics — AI scores, weekly overviews, and historical trend analysis.

Feature availability may vary by platform and subscription tier.

3. Not Financial Advice

Important Disclaimer

VEXA AI IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, FINANCIAL ANALYST, OR FINANCIAL PLANNER.

The Service is provided for educational and informational purposes only. Nothing in the Service constitutes financial advice, investment recommendations, or trading signals. You are solely responsible for your own trading and investment decisions. You should consult qualified financial professionals before making any investment decisions.

AI models may produce errors, hallucinations, or incorrect analysis. Always verify any information or suggestions provided by the Service before acting on them.

Trading involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results.

4. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Be at least 18 years of age or the legal age in your jurisdiction
  • Not create multiple accounts for the same individual

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access to your account.

5. Health and Biometric Data

VEXA AI is not a medical device and is not intended to diagnose, treat, cure, or prevent any medical condition.

The Service may collect health and biometric data from wearable devices with your explicit consent. You acknowledge that the accuracy of biometric data depends on the wearable device and its sensors. You may revoke health data access at any time through your device settings.

6. Voice Coaching & Sentinel Interventions

Voice coaching interactions and VEXA Sentinel interventions are AI-generated and provided for informational and educational purposes only. They do not constitute financial advice or trading instructions. You are not obligated to follow any suggestion made through voice coaching or Sentinel interventions.

VEXA Sentinel may monitor your biometric state (via connected wearables) alongside your trading activity to detect potentially harmful patterns such as revenge trading, tilt states, or loss chasing. Interventions may be delivered via voice, push notifications, or visual overlays. The accuracy of these interventions depends on the quality and consistency of biometric data from your wearable device, and intervention timing should not be relied upon for any specific outcome.

VEXA AI is not liable for any trading decisions made in response to or in reliance on voice coaching, Sentinel interventions, or any other AI-generated output.

7. Brokerage Account Integration

VEXA AI accesses your brokerage data in read-only mode and does not execute trades on your behalf. You are responsible for ensuring compliance with your brokerage's terms of service when connecting your account to VEXA.

VEXA AI is not responsible for any errors, omissions, or delays in brokerage data synchronization.

8. Community and Leaderboard Features

If you participate in community features, you agree not to:

  • Post unlawful, abusive, or inappropriate content
  • Share financial advice through community features
  • Manipulate leaderboard rankings through fraudulent means
  • Share others' personal information without their consent

Performance data displayed on leaderboards is based on self-reported or automatically synced data and may not reflect actual trading results.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law
  • Provide financial advice or investment recommendations to others through the platform
  • Gain unauthorized access to any part of the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated bots, scrapers, or data mining tools
  • Impersonate any person or entity
  • Damage, disable, or impair the functioning of the Service

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of VEXA AI and its licensors. The Service is protected by copyright, trademark, and other applicable intellectual property laws.

The following VEXA technologies are patent pending under US Provisional Application #64/030,397:

  • CDI Scoring System™ — multi-dimensional psychological scoring (Confidence, Discipline, Intuition)
  • VEXA Sentinel™ — real-time behavioral monitoring and intervention engine
  • Wearable Biometric-Trading Correlation — dual-device biometric fusion with trading decision analysis
  • Voice AI Coaching™ — bidirectional real-time voice coaching with context-grounded LLM
  • Screen-Share Trade Extraction — hybrid OCR + AI vision pipeline for broker-agnostic trade capture
  • RAG-Powered Trading Intelligence — significance-weighted retrieval-augmented generation for trade analysis
  • Community Psychology Ranking Engine — multi-tier anonymized leaderboards based on psychological performance

All content, technology, source code, designs, and brand elements on this platform are the intellectual property of VEXA AI.

You retain ownership of any data you provide to the Service. However, by using the Service, you grant VEXA AI a non-exclusive, worldwide, royalty-free license to use, process, and analyze such data for the purpose of providing and improving the Service.

11. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate and complete billing information
  • Authorize recurring charges for subscription renewals

Subscriptions automatically renew unless cancelled before the renewal date. A free trial is offered on monthly plans (Edge and Pro). Annual plans are billed upfront and do not include a trial.

11.1 The Free Trial Is Your Evaluation Window

The free trial on monthly plans gives you full access to evaluate the Service before any money is charged — it is your opportunity to decide whether VEXA is right for you. You can cancel at any time during the trial and you will not be billed. If you do not cancel before the trial ends, your subscription automatically converts to a paid plan at the price shown at sign-up.

11.2 Subscriptions Are Non-Refundable

VEXA is a digital subscription service and access is granted immediately. For this reason, all subscription fees are final and non-refundable once charged — this includes monthly fees, annual fees, fees charged after a free trial converts to a paid plan, and any unused portion of a billing period. We do not provide pro-rated refunds for time remaining in a billing period. Please use the free trial to evaluate VEXA before you are billed. Full details are set out in our Refund Policy.

11.3 Cancelling Your Subscription

You can cancel at any time before your next renewal. Cancel from the Account > Billing section in the app — or, if you subscribed through the Apple App Store or Google Play, through your device's subscription settings. When you cancel, your plan stays active until the end of the current billing period and then does not renew; you will not be charged again, and no refund is issued for the current period.

11.4 Early-Stage and Evolving Service

VEXA is a new and actively developed product. Features may be added, changed, released in stages, or temporarily unavailable, and — as with any evolving software — you may occasionally encounter bugs, errors, or incomplete functionality as we continue to improve the Service. This is an expected characteristic of an early-stage product and, on its own, is not a basis for a refund. The free trial exists precisely so you can evaluate the current state of the Service before subscribing, and your subscription is not conditioned on the delivery of any particular future feature, timeline, or roadmap item.

12. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

VEXA AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

In no event shall VEXA AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, data loss, or other intangible losses resulting from your use of the Service.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless VEXA AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason including breach of these Terms, suspected fraud, or extended inactivity.

You may terminate your account at any time by contacting us at support@vexatrade.ai. Upon termination, your right to use the Service will cease immediately. Certain provisions of these Terms will survive termination.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

16. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or applications. VEXA AI is not responsible for the content, privacy policies, or practices of any third-party services. You should review the terms and privacy policies of any third-party services you interact with through the Service.

17. Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Service, are governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Ras Al Khaimah, without regard to conflict-of-law principles. This choice of law does not deprive you of any mandatory consumer-protection rights you have under the laws of your country of residence, which continue to apply.

Before bringing any formal claim, you agree to first contact us at support@vexatrade.ai and attempt in good faith to resolve the matter informally. Most concerns can be resolved this way.

General disputes. If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of Ras Al Khaimah, United Arab Emirates — except where mandatory law gives you the right to bring proceedings in your country of residence.

Additional terms for United States residents. If you are a resident of the United States, then notwithstanding the paragraph above, you and VEXA agree that any dispute not resolved informally will be settled by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. To the fullest extent permitted by law, you and VEXA each agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action. If this class-action waiver is held unenforceable, this "Additional terms for United States residents" paragraph shall be void in its entirety, but the remainder of this Section 17 will continue to apply.

Nothing in this Section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice before the new terms take effect. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VEXA AI regarding the use of the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.
